National Express Corporation is currently seeking an experienced Commercial Contracts Attorney to work from our corporate headquarters in Lisle, Illinois. Currently our department is working remotely, but in the near future a hybrid schedule will be put in place. This position will report to the Vice President, Assistant General Counsel, Contracts and Corporate Governance and is responsible for negotiating, reviewing and drafting various commercial contracts for the company, as well as assisting with special projects to support the business.

Responsibilities Include:

  • Act as knowledgeable business partner providing competent and effective legal expertise to internal stakeholders

  • Responsible for the preparation of documents and providing legal advice related to corporate structuring and corporate organizational maintenance

  • Reviewing, drafting and negotiating commercial transportation contracts in accordance with requests for proposal and bid specifications and modifying terms in line with company objectives

  • Reviewing proposed commercial transportation contracts and advising management on impact to company; providing alternative language options in line with company objectives

  • Reviewing, drafting, negotiating vendor contracts and advising management on impact to company; providing alternative language options in line with company objectives

  • Facilitates the execution of credit facilities and other commercial matters, debt issuances, capital market transactions and financing-related activities

  • Assisting in contract interpretation and dispute resolution

  • Researching federal and state regulations and local ordinances applicable to commercial transportation contracts

  • Communicating frequently with all parties and coordinating change requests to gain consensus and executive approval

  • Monitoring compliance with commercial transportation contract requirements such as annual renewals, rate increases, and addenda

  • Working collaboratively with other in-house counsel and staff on commercial contracts

  • Effectively managing outside counsel as needed

  • Assisting other members in the department as assigned from time to time

  • Collaborate with internal business clients on responding to current/potential privacy matters.

  • Maintain current knowledge of relevant privacy legislation and regulation and distribute this knowledge to internal business partners.

Qualifications

  • JD Degree from ABA accredited law school and membership in a state bar or association

  • 7 years of experience working in corporate law department or business law firm in the areas of commercial transactions and corporate governance.

  • Extensive commercial contracts experience, including reviewing, negotiating and drafting commercial contracts

  • Experience in advising organizations on the various privacy risks, obligations, and other issues related to privacy.

  • Broad experience advising business personnel and senior management on risks associated with entering into commercial contracts

  • Experience with leases (both equipment and real estate) is helpful but not a requirement.

  • Strong working knowledge of MS Office Software (Excel, Access, Word, Outlook, PowerPoint) and the use of a contract management system

  • Committed to providing excellent customer service to both internal and external clients

  • Strong decision-making abilities, communication, dispute resolution and negotiation skills

  • Proven comfort level / experience working with senior-level management

  • Demonstrated ability to act as strategic advisor and identify holistic business solutions regarding legal and enterprise risk

  • Ability to manage outside counsel

  • Ability to anticipate client needs based on understanding of business and regulatory environment

  • Ability to preserve confidentiality of information

  • Ability and willingness to move with purpose and a strong sense of urgency

  • Accuracy and attention to detail

  • Ability to work independently and as part of a team

  • Self-starter with ability to organize and prioritize a large volume of concurrent tasks

  • Ability to work within strict timeframes and resolute deadlines
